1. Definitions
For the purposes of these Terms, the following definitions apply:
- "Company," "We," "Us," or "Our" refers to RM IT LTD, including its subsidiaries, affiliates, and authorized representatives.
- "Client," "You," or "Your" refers to any individual, business, or organization accessing our website or engaging our services.
- "Services" refers to all IT services, consulting, software development, web development, hosting, digital marketing, and any other services provided by RM IT LTD.
- "Products" refers to any tangible or digital products sold or distributed by RM IT LTD.

- "Agreement" refers to any contract, proposal, or statement of work executed between the Company and the Client.
- "Deliverables" refers to any work product, software, design, documentation, or materials produced by the Company as part of the Services.
2. Acceptance of Terms
By accessing, browsing, or using our Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Refund and Returns Policy, which are incorporated herein by reference. We reserve the right to update these Terms at any time, and your continued use of our Website or Services following any changes constitutes acceptance of those changes.
3. Services Description
RM IT LTD provides a range of information technology services including, but not limited to:
- Custom software development and application design.
- Website and web application development, design, and maintenance.
- Mobile application development (iOS, Android, and cross-platform).
- IT consulting and technology strategy.
- Cloud infrastructure setup, migration, and management.
- UI/UX design and prototyping.
- E-commerce solutions and integration.
- Digital marketing, SEO, and content services.
- Website hosting, domain management, and SSL certificates.
- Technical support and maintenance plans.
- Data management, backup, and recovery solutions.
The specific scope, deliverables, timeline, and pricing for each engagement will be outlined in a separate Agreement, proposal, or statement of work executed by both parties.
4. Engagement and Project Process
All service engagements follow a structured process:
- Discovery: We assess your requirements and define the project scope.
- Proposal: We provide a detailed proposal including scope, timeline, milestones, and pricing.
- Agreement: Upon mutual agreement, a formal contract or statement of work is signed by both parties.
- Development: Work commences according to the agreed timeline and milestones.
- Review: You are provided opportunities to review and provide feedback at designated milestones.
- Delivery: Final deliverables are submitted upon completion and acceptance.
Any changes to the original scope must be requested in writing and may result in adjustments to the timeline and pricing through a formal change order process.
5. Client Responsibilities
As a client, you agree to the following responsibilities:
- Provide accurate and complete information necessary for the delivery of Services.
- Respond to requests for feedback, approval, or clarification in a timely manner (within 3 business days unless otherwise agreed).
- Ensure you have the legal right and authority to provide any content, data, or materials submitted to us.
- Designate a primary point of contact for project communication.
- Obtain and maintain all necessary licenses, permissions, and rights for third-party content incorporated into the project.
- Ensure that your use of any Deliverables complies with all applicable laws and regulations.
- Make payments in accordance with the agreed schedule and terms.
Failure to fulfill these responsibilities may result in project delays, which shall not be the responsibility of RM IT LTD and may result in additional charges.
6. Payment Terms
Payment terms are as follows unless otherwise specified in a separate Agreement:
- An initial deposit of 30-50% may be required before work commences, as specified in the proposal.
- Milestone-based payments are due upon completion and approval of each milestone.
- Final payment is due within 7 days of project delivery and acceptance.
- All invoices are due within the specified payment period from the date of issuance.
- Late payments may incur a penalty of 1.5% per month on the outstanding balance.
- We reserve the right to suspend work on any project with overdue payments until the balance is settled.
Accepted payment methods include bank transfer, credit card, PayPal, and other methods as agreed upon between the parties. All prices are stated in the currency specified in the Agreement and are exclusive of applicable taxes unless stated otherwise.
7. Intellectual Property
Intellectual property rights are governed by the following terms:
- Pre-existing IP: All pre-existing intellectual property of RM IT LTD, including frameworks, libraries, codebases, tools, methodologies, and proprietary technologies, remain the exclusive property of RM IT LTD.
- Client IP: All intellectual property you provide to us, including logos, branding, content, and data, remains your property.
- Deliverables: Upon full payment, you will be granted ownership of the custom Deliverables created specifically for your project, excluding any pre-existing IP components.
- License Grant: RM IT LTD grants you a non-exclusive, perpetual, worldwide license to use any pre-existing IP components incorporated into your Deliverables.
- Portfolio Usage: Unless otherwise agreed in writing, RM IT LTD may use non-confidential elements of the project in its portfolio, marketing materials, and case studies.
- Third-Party IP: Any third-party software, plugins, libraries, or tools used in the project are subject to their respective license terms and are not transferred to you.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the engagement:
- "Confidential Information" includes business plans, technical specifications, financial data, customer lists, trade secrets, and any information marked as confidential.
- Neither party shall disclose Confidential Information to any third party without prior written consent.
- Confidentiality obligations shall survive the termination or expiration of any Agreement for a period of 3 years.
- Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Project Delays and Force Majeure
RM IT LTD shall not be liable for any delays or failures in performance resulting from:
- Natural disasters, pandemics, epidemics, or public health emergencies.
- Government actions, war, terrorism, or civil unrest.
- Power outages, internet disruptions, or infrastructure failures beyond our control.
- Third-party service failures (e.g., hosting providers, payment processors, API services).
- Client's failure to provide required information, feedback, or approvals in a timely manner.
- Unforeseen technical challenges that require additional time to resolve.
In the event of a force majeure occurrence, we will notify you promptly and make reasonable efforts to resume performance as soon as practicable.
10. Warranties and Disclaimers
Service Warranty: We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. For a period of 30 days following project delivery, we will correct any bugs, errors, or defects that materially affect the functionality of the Deliverables at no additional cost.
Disclaimer of Warranties: Except as expressly stated above, all Services and Deliverables are provided "as is" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Website Disclaimer: Our Website is provided on an "as is" and "as available" basis. We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- RM IT LTD's total aggregate liability arising out of or related to any Agreement shall not exceed the total amount paid by you to RM IT LTD under that specific Agreement.
- RM IT LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities.
- RM IT LTD is not liable for any losses or damages arising from your use or inability to use the Deliverables, Website, or Services.
- RM IT LTD is not responsible for any unauthorized access to or alteration of your data or systems.
12. Indemnification
You agree to indemnify, defend, and hold harmless RM IT LTD, its officers, directors, employees, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
- Your breach of these Terms or any Agreement.
- Your use of the Deliverables in a manner not authorized or intended.
- Any content, data, or materials you provide that infringe upon the intellectual property rights or other rights of any third party.
- Any misrepresentation made by you regarding your authority, business, or requirements.
- Any claims arising from the products or services you offer using our Deliverables.
13. Termination
Either party may terminate an engagement under the following conditions:
- By Mutual Consent: Both parties may agree to terminate the engagement at any time.
- For Cause: Either party may terminate the Agreement if the other party materially breaches its obligations and fails to cure such breach within 14 days of receiving written notice.
- By Client: You may cancel a project by providing 30 days written notice. In such cases, you shall be responsible for payment of all work completed up to the date of cancellation, plus any non-cancellable costs incurred.
- By Company: RM IT LTD may terminate if payments are overdue by more than 15 days, or if you fail to fulfill your responsibilities for more than 14 days.
Upon termination, all outstanding payments become immediately due. RM IT LTD will provide you with access to completed Deliverables upon receipt of full payment for work performed.
14. Website Use
When using our Website, you agree not to:
- Use the Website for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any portion of the Website, its systems, or networks.
- Interfere with or disrupt the Website's functionality, servers, or networks.
- Scrape, crawl, or extract data from the Website without our prior written consent.
- Upload or transmit any viruses, malware, or other harmful code.
- Reproduce, distribute, or modify any content from the Website without written permission.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.

15. Hosting and Domain Services
For clients utilizing our hosting and domain management services, the following additional terms apply:
- Hosting services are provided on a subscription basis and are billed in advance according to the selected plan.
- You are solely responsible for the content hosted on your account and must ensure it complies with all applicable laws.
- We reserve the right to suspend or terminate hosting services for content that violates these Terms or any applicable law.
- Domain registration fees are non-refundable and are subject to the terms of the respective domain registrar.
- You must keep your contact and billing information up to date to avoid service interruptions.
- Regular backups are recommended. While we implement reasonable backup measures, we are not responsible for data loss due to unforeseen circumstances.
16. Acceptable Use Policy
All services provided by RM IT LTD must be used in compliance with applicable laws and regulations. You agree not to use our Services to:
- Distribute spam, unsolicited emails, or bulk communications.
- Host, distribute, or promote illegal, harmful, threatening, abusive, defamatory, or obscene content.
- Engage in phishing, hacking, or any form of cyberattack.
- Infringe upon the intellectual property rights of any third party.
- Violate data protection and privacy laws, including GDPR, CCPA, or other applicable regulations.
- Distribute malware, ransomware, or any malicious software.
- Engage in cryptocurrency mining without explicit authorization.
Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your Services without prior notice.
17. Third-Party Services and Links
Our Website and Services may integrate with or link to third-party services, platforms, and websites (including but not limited to payment gateways, cloud providers, analytics tools, and social media platforms). These third-party services are governed by their own terms and privacy policies. RM IT LTD is not responsible for the availability, functionality, security, or content of any third-party services. Your use of third-party services is at your own risk.
18. Data Protection Compliance
Both parties agree to comply with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and the Bangladesh Digital Security Act. Where RM IT LTD processes personal data on your behalf as a data processor, a separate Data Processing Agreement (DPA) may be required.
19. Dispute Resolution and Governing Law
These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
In the event of any dispute:
- Both parties agree to first attempt to resolve the dispute through good-faith negotiation within 30 days.
- If negotiation fails, the dispute may be submitted to mediation before any legal proceedings are initiated.
- Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
21. Waiver
The failure of RM IT LTD to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by RM IT LTD. A waiver of one instance does not constitute a waiver of any future or other instances.
22. Entire Agreement
These Terms, together with any executed Agreements, proposals, statements of work, Privacy Policy, and Refund and Returns Policy, constitute the entire agreement between you and RM IT LTD regarding the subject matter herein and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
23. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of RM IT LTD. RM IT LTD may assign its rights and obligations under these Terms to any affiliated entity or in connection with a merger, acquisition, or sale of all or substantially all of its assets, without requiring your consent.
24. Changes to These Terms
We reserve the right to amend or update these Terms at any time at our sole discretion. Updated Terms will be posted on this page with a revised "Last Updated" date. Material changes may also be communicated via email or through a prominent notice on our Website. Your continued use of our Website or Services after changes are posted constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
